Partner Terms

These are the terms of the Asteris Partner Program ("the Program"), run by My Cosmic Message Pty Ltd t/as Asteris Commerce (ACN 652 358 159, ABN 30 652 358 159) ("Asteris", "we", "us"). By applying to the Program or by promoting Asteris products with a referral link, you ("Partner", "you") agree to these terms.

1. Commission

You earn commission on qualifying purchases made by customers who arrive at an Asteris property via your referral link or coupon, within the attribution window.

• Year 1 rate: 25% of net customer payment.
• Year 2+ recurring rate: 15% of net customer payment on every subsequent renewal, for the life of the customer's active subscription.
• With coupon: if the customer also uses a coupon that grants a discount, your commission rate is reduced by 50% on that order (commercial logic: we can't pay full commission and full discount on the same sale).
• Net of refunds, chargebacks, taxes, and Stripe fees: commission is calculated on the amount Asteris actually keeps from the transaction.

2. Attribution

• Cookie window: 60 days from the click. If the customer purchases within 60 days, you receive credit.
• Cross-product attribution: one cookie covers all three Asteris products — a click on your WooCommerce referral link credits you for any subsequent purchase of WordPress or Cart plugins by that visitor.
• Last-click wins: if a customer clicks multiple partner links inside the window, the most recent click receives credit.
• Server-side reinforcement: we also store an IP + user-agent hash as a fallback for cases where the cookie is blocked or cleared (Safari ITP, Brave Strict, etc.).

3. Holds, approval, payout

• 30-day hold: every commission is created with status pending. After 30 days with no refund, it transitions to approved.
• $100 minimum payout: approved commissions accumulate until the balance reaches $100 USD equivalent. Below the threshold, the balance rolls forward.
• Monthly payout cron: on the first business day of each month, eligible balances are transferred via Stripe Connect to your linked account.
• Stripe Connect required: you must complete Stripe Connect Express onboarding (identity verification, bank details) before your first payout. Failure to onboard within 12 months of approval forfeits accumulated commission.
• Tax form required: US partners must upload a W-9, international partners a W-8BEN/W-8BEN-E, Australian partners their ABN, before the first payout is released.

4. Refunds and clawback

If a customer you referred receives a refund or chargeback:

• Within the 30-day hold: the pending commission is cancelled. No clawback needed — it never moved to approved.
• After payout: the commission is marked refunded and a clawback equal to the commission amount is applied to your next payout. If your next payout doesn't cover it, the balance carries forward against future earnings. We will not invoice you directly for clawback amounts.

5. What you must NOT do

• No self-referral. Buying through your own referral link to claim commission on your own purchase is fraud. Detected and blocked at checkout.
• No paid search on Asteris-brand keywords. Don't bid on "Asteris", "Asteris Commerce", "Asteris for WordPress", "Asteris Cart", or any close variant on Google Ads, Microsoft Ads, or any other auction-based ad network. This is the single fastest way to lose your partner status.
• No spam. Unsolicited email, comment spam, fake reviews, link injection, cookie stuffing, or any other deceptive practice voids all pending and approved-but-unpaid commissions and terminates the partner account.
• No misrepresentation. Don't claim Asteris features or behaviour that doesn't exist. If we publish it on the sales site, you can promote it. If we don't, ask first.
• No trademark misuse. The Asteris logo, name, and brand colours may be used only for genuine promotion of Asteris products via the brand assets we provide in your dashboard. Don't modify them.
• No coupon-site listings without permission. Listing your referral link on coupon/deal-aggregator sites that target customers actively searching for "Asteris discount" siphons commission from organic intent and is not a referral. Email support@asteriscommerce.com for explicit approval.

6. Anti-fraud measures

We run automated detection on all referral activity. Triggers that lead to automatic suspension include:

• Refund rate above 20% over a rolling 30-day window
• Click velocity above 100 clicks per minute from a single visitor fingerprint
• Conversion rate above 50% with no traffic source diversity
• Repeated self-referral attempts blocked at checkout

Suspended accounts are reviewed manually. If we conclude the activity was fraudulent, the account is terminated and all unpaid commission is forfeit. If we conclude it was legitimate, the account is reinstated and any held payouts are released.

7. Term and termination

Either party may terminate the relationship at any time, for any reason, by emailing support@asteriscommerce.com. On termination:

• Your referral links stop crediting new commissions immediately.
• Commissions already approved at the time of termination will be paid on the next monthly cycle, subject to the $100 minimum.
• Commissions still pending at termination remain pending and pay out if and when they clear the 30-day hold, unless termination is for cause (fraud, breach of §5, etc.) in which case they are forfeit.

8. Independent contractor

You are an independent contractor, not an employee, agent, or representative of Asteris. You have no authority to bind Asteris. You are solely responsible for your own taxes, business registration, and compliance with the laws in your jurisdiction.

9. Disclosure obligations

You must disclose your affiliate relationship with Asteris on any channel where you promote our products, in line with the rules of your jurisdiction (US FTC, EU/UK consumer protection, ACCC for Australia). A plain "I earn a commission if you buy through this link" line is enough.

10. Data and privacy

We store the information you provide on the application form (name, email, country, marketing channels), your Stripe Connect account ID once linked, and your uploaded tax form. Tax forms are stored in a private directory under an obfuscated filename, protected by an .htaccess deny rule. Click and conversion data is stored with hashed IPs (not raw IPs) for anti-fraud. We don't sell your data. Full privacy policy at /privacy.

11. Changes to these terms

We may update these terms. Material changes (commission rates, payout thresholds, prohibited activity) will be communicated by email to your registered partner address at least 14 days before they take effect. Continued use of the Program after the effective date is acceptance. If you don't accept, you may terminate under §7.

12. Governing law

These terms are governed by the laws of Victoria, Australia. Disputes will be heard in the courts of Victoria.
